1. Acceptance of Terms
By accessing our website at purefoodlabs.com or by using any of Pure Food Labs' laboratory testing services, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, do not use our website or services.
2. Services
Pure Food Labs, Inc. provides independent food safety testing, nutritional analysis, environmental monitoring, and related laboratory services ("Services"). All Services are subject to a separate written agreement or purchase order. These Terms govern your general use of our website and form the baseline for any service engagement.
Pure Food Labs reserves the right to modify, suspend, or discontinue any Service at any time without prior notice.
3. Laboratory Testing — Scope and Limitations
3.1 Results and Interpretation
Laboratory test results provided by Pure Food Labs are based on the specific samples submitted. Results are valid only for the samples tested and the specific test methods applied. Pure Food Labs makes no warranty that test results are representative of any product lot beyond the samples actually tested.
3.2 Sample Submission
Clients are responsible for proper sample collection, packaging, and chain-of-custody documentation. Samples that arrive compromised, mislabeled, or outside specified transport conditions may be rejected or tested with noted qualifications. Pure Food Labs is not liable for results affected by client-caused sample integrity issues.
3.3 Turnaround Times
Stated turnaround times are estimates. Pure Food Labs is not liable for delays caused by sample condition, test method requirements, equipment maintenance, or force majeure events.
3.4 Certificates of Analysis
Certificates of Analysis (COAs) issued by Pure Food Labs are confidential and intended solely for the client named on the report. Clients may share COAs with retailers, regulatory bodies, and business partners as required. COAs may not be altered, edited, or reproduced in a misleading manner.
4. Payment Terms
Payment is due upon invoice unless otherwise agreed in writing. Invoices not paid within 30 days of the invoice date may be subject to a 1.5% monthly late fee. Pure Food Labs reserves the right to withhold test results until payment is received. Disputed invoices must be raised in writing within 10 business days of invoice date.
5. Confidentiality
Pure Food Labs treats all client information, product data, and test results as confidential. We will not disclose confidential information to third parties without written client consent, except where required by law, subpoena, or regulatory authority.
6. Intellectual Property
All content on this website, including text, graphics, logos, and methodologies, is the intellectual property of Pure Food Labs, Inc. and protected by applicable copyright and trademark laws. You may not reproduce, distribute, or create derivative works from our content without written permission.
The RPRI™ system and related methodologies are proprietary to Pure Food Labs, Inc. Any unauthorized use, reproduction, or reverse engineering is strictly prohibited.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Pure Food Labs' liability for any claim arising from its Services shall not exceed the amount paid by the client for the specific testing Services giving rise to the claim. Pure Food Labs shall not be liable for any indirect, incidental, consequential, punitive, or special damages, including lost profits, business interruption, or product recall costs.
8. Disclaimer of Warranties
Except as expressly stated in a written service agreement, Pure Food Labs provides its Services and website "as is" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
9. Indemnification
You agree to indemnify and hold harmless Pure Food Labs, its officers, employees, and agents from any claims, liabilities, damages, or expenses (including reasonable attorney's fees) arising from your use of our Services, breach of these Terms, or violation of any third-party rights.
10. Governing Law
These Terms and any disputes arising from your use of our Services shall be governed by the laws of the State of Arizona, without regard to its conflict of law provisions. Any legal proceedings shall be brought exclusively in the courts of Maricopa County, Arizona.
11. Dispute Resolution
Before initiating any formal legal proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiation for a period of 30 days. If resolution is not achieved, disputes may be submitted to binding arbitration under the American Arbitration Association rules, with arbitration conducted in Phoenix, Arizona.
12. Changes to These Terms
Pure Food Labs reserves the right to update these Terms at any time. Updated Terms will be posted to this page with a revised date. Continued use of our website or Services after changes constitutes acceptance of the updated Terms.
